1. General Provisions

1.1. This Public Offer (hereinafter — the "Agreement", "Offer") is an official proposal (a public offer within the meaning of Articles 633, 641 and 642 of the Civil Code of Ukraine) made by Sole proprietor (FOP) Blazhko Yaroslav Oleksandrovych (hereinafter — the "Service Provider") to enter into a service agreement providing access to the Borets Online online video school with any individual (hereinafter — the "User").

1.2. The Agreement is concluded by the User's accession to the terms proposed by the Service Provider in their entirety, without exceptions or additions (Article 634 of the Civil Code of Ukraine).

1.3. By registering at borets.online or subscribing, the User confirms that they have read, fully understand and accept without reservation the terms of this Agreement, the Privacy Policy and the Refund Policy.

1.4. If the User does not agree with the terms of the Agreement, they must not register or use the Service.

2. Terms and Definitions

• Service — the "Borets Online" online martial arts video school of the Borets club, available at borets.online: a library of instructional video lessons on sambo, combat sambo, Brazilian jiu-jitsu, freestyle wrestling and conditioning with Ukrainian and English audio tracks, and related features.
• Service Provider — Sole proprietor (FOP) Blazhko Yaroslav Oleksandrovych, which provides access to the Service.
• User — a legally competent individual who has registered with the Service and/or paid for a Subscription.
• Lesson — an instructional video published in the Service, together with its description, audio tracks and subtitles.
• Services — providing the User with access to watch the Lessons and use the Service's features for the term of the Subscription.
• Subscription — the single paid plan of the Service: access to all published Lessons for 1 calendar month, renewed automatically for each following month until cancelled. The Subscription price is listed on the pricing page.
• Account (Personal Account) — the section of the Service protected by a password or Google sign-in, where the User manages the Subscription, the interface language and the audio track.
• Acceptance — the User's full and unconditional consent to enter into the Agreement, expressed by registering with the Service and/or paying for a Subscription.
• Privacy Policy and Refund Policy — the documents published at borets.online/privacy and borets.online/refund, which are integral parts of this Agreement.

3. Subject of the Agreement

3.1. The Service Provider provides the User with the Services — access to watch the Lessons and use the Service's features for the term of the Subscription — and the User undertakes to accept and pay for the Services under the terms of this Agreement.

3.2. The Services are digital. No physical goods are supplied. Lessons are delivered over the Internet by streaming, without the option to download the video.

3.3. Registration is free. Without a Subscription the User sees the Lesson catalogue (titles, descriptions, thumbnails) and can manage the Account; watching Lesson videos requires an active Subscription.

3.4. The Lessons, their video recordings, audio tracks, subtitles, texts, the design of the Service and the "Борець" / "Borets Online" marks are intellectual property of the Service Provider and the Borets club. The Subscription grants the User a non-exclusive, non-transferable licence to watch the Lessons for personal, non-commercial purposes during the term of the Subscription and conveys no other rights.

4. Conclusion of the Agreement

4.1. The Agreement is concluded and enters into force the moment the User performs any of the following actions (Acceptance):

• registering with the Service and ticking the box to agree with this Agreement and the Privacy Policy;
• paying for a Subscription;
• actually using the Service, including watching the video of any Lesson.

4.2. The Agreement is concluded for an unlimited term and remains in effect until terminated under Section 12 of this Agreement.

5. Price and Payment Terms

5.1. The Subscription price is listed on the pricing page in US dollars (USD). The amount is charged to the User's card in the card's currency at the issuing bank's exchange rate; any conversion fees set by the User's bank are borne by the User.

5.2. Payment is made by bank card via the LiqPay payment system (operated by JSC CB "PrivatBank"). The Service Provider does not receive or store the User's full bank card details.

5.3. The Subscription is prepaid: payment is made before the period of Service delivery begins. The period of Service delivery is 1 calendar month from the moment the Subscription is activated.

5.4. The Subscription renews automatically: at the end of each paid period the payment system charges the next month's price to the same card until the User cancels the Subscription under Section 7.4. By subscribing, the User agrees to these recurring charges.

5.5. The Service Provider reserves the right to change the Subscription price. The new price applies to new Subscriptions and to renewals that occur no earlier than 7 calendar days after the User has been notified at the email address provided at registration. A period already paid for is provided at the previous price.

5.6. The cost of the internet connection, equipment and other expenses the User incurs to access the Service is not included in the price of the Services.

6. Access and Service Delivery

6.1. Access to the Lessons is activated automatically once the payment system confirms the payment — usually within minutes, and no later than 24 hours.

6.2. The Services are considered properly delivered if, during the term of the Subscription, the User had the technical ability to watch the published Lessons.

6.3. The Service Provider alone determines the list, content, length and publication schedule of the Lessons. New Lessons are added on the Service Provider's schedule; individual Lessons may be updated or removed from the library without a change to the Subscription price.

6.4. The Service Provider ensures Service availability of at least 95% per month (excluding scheduled maintenance, force majeure and circumstances beyond the Service Provider's control, including outages of internet providers, payment systems, hosting and the video delivery network).

6.5. The Service Provider may carry out scheduled maintenance with at least 24 hours' prior notice to the User.

6.6. If a recurring charge fails, access to the Lessons is kept for a further 3 calendar days after the end of the paid period. If no payment is received in that time, access is suspended until a successful payment; the Account itself is kept.

7. Rights and Obligations of the Parties

7.1. The Service Provider undertakes to:

• provide Services of proper quality in accordance with this Agreement;
• ensure Service availability in accordance with Section 6.4;
• keep the User's personal data confidential in accordance with the Privacy Policy;
• review the User's requests and complaints within 14 calendar days.

7.2. The Service Provider has the right to:

• change the functionality, design and technical specifications of the Service and the composition of the Lesson library;
• carry out scheduled and unscheduled maintenance;
• change the Subscription price in accordance with Section 5.5;
• restrict or terminate the Services to the User in case of a breach of this Agreement or unlawful actions (including recording, copying or distributing Lessons, sharing access with third parties, attempts to hack the Service, infringement of third-party rights), without refunding the period already paid for;
• use anonymised data about the use of the Service (statistics, analytics) to improve the Service;
• engage third parties to provide parts of the Services (including payment systems and providers of hosting, database, video delivery and email).

7.3. The User undertakes to:

• provide accurate information at registration;
• keep their password confidential and not share access to the Account with third parties; one Account is meant for one viewer;
• pay for the Services on time;
• use the Lessons only for personal, non-commercial learning: not download, record, copy, broadcast, publish or distribute the Lessons or any part of them, and not circumvent the technical protection of the video;
• not use the Service to build competing products, scrape content, perform automated mass requests, distribute malicious code or engage in any other prohibited activity;
• not attempt to gain unauthorised access to other Users' data or to the Service's infrastructure;
• comply with this Agreement and the applicable laws of Ukraine.

7.4. The User has the right to:

• receive the Services under this Agreement for the term of the Subscription, watch the Lessons on any of their own devices and choose the audio track (Ukrainian or English);
• contact the Service Provider for technical support using the details on the Contacts page;
• cancel the Subscription at any time in the Personal Account or by email to yaroslav19937@gmail.com. After cancellation no further charges are made, and access to the Lessons is kept until the end of the period already paid for;
• receive a refund in the cases provided for by the Refund Policy;
• stop using the Service and request the deletion of their Account in accordance with Section 12.

8. Liability

8.1. The Service is provided "as is". The Service Provider does not guarantee that the Service will meet the User's specific expectations, that the Lessons will cover particular techniques, or that the User will achieve particular athletic results.

8.2. The Lessons are educational and informational and do not replace training under the guidance of a qualified coach. Martial arts involve an elevated risk of injury. The User alone assesses their health and level of preparation, consults a doctor where needed, and performs the techniques from the Lessons at their own risk. The Service Provider is not liable for injuries or harm to the health of the User or third parties resulting from performing techniques from the Lessons without proper supervision by a qualified coach, or without an appropriate warm-up, equipment, partner or surface.

8.3. The Service Provider is not liable for:

• Service disruptions caused by third parties (internet providers, payment systems, hosting providers, the video delivery network);
• loss of access to the Account caused by the User's failure to keep the password confidential;
• the outcomes of the User's application of information obtained from the Lessons.

8.4. The Service Provider's total liability to the User under this Agreement is limited to the amount actually paid by the User for the most recent paid Subscription period.

8.5. The parties are released from liability for non-performance of their obligations due to force majeure, including hostilities, natural disasters, decisions of public authorities, and major outages of internet infrastructure or power supply.

9. Refunds

Refund conditions are set out in detail in the Refund Policy, which is an integral part of this Agreement. In brief:

• a refund is possible within 14 days of payment if the User has not used the Service — has not watched the video of any Lesson (Article 13 of the Law of Ukraine "On Consumer Rights Protection");
• if the User has started watching Lessons, no refund is available (Article 13, part 2, paragraph 9 of the Law of Ukraine "On Consumer Rights Protection");
• in case of a technical fault by the Service Provider or an erroneous (duplicate) payment, a full refund is issued;
• cancelling the Subscription is not a refund: access is kept until the end of the paid period, and unused days are not refunded.

10. Personal Data

10.1. The Service Provider processes the User's personal data in accordance with the Law of Ukraine "On Personal Data Protection" and the Privacy Policy, which is an integral part of this Agreement.

10.2. By registering, the User consents to the processing of their personal data (email address, interface language, Subscription and payment data, Lesson viewing history) for the performance of this Agreement.

10.3. The User has the right at any time to obtain information about their personal data and to request its correction or deletion by sending a request to yaroslav19937@gmail.com.

11. Changes to the Agreement

11.1. The Service Provider has the right to amend this Agreement unilaterally. The new version takes effect once published at borets.online/terms, unless it states a different date.

11.2. The Service Provider notifies the User of material changes to the Agreement at the email address provided at registration at least 7 calendar days before they take effect.

11.3. If the User does not agree with the changes, they must stop using the Service and cancel the Subscription. Continued use of the Service after the new version takes effect constitutes acceptance of it.

12. Term and Termination

12.1. The Agreement is concluded for an unlimited term and remains in effect until terminated.

12.2. The User may terminate the Agreement at any time by cancelling the Subscription in the Personal Account and sending a request to delete the Account to yaroslav19937@gmail.com. The Account is deleted within 14 calendar days, except for data the Service Provider is required by law to retain.

12.3. The Service Provider may terminate the Agreement in case of a material breach by the User, giving at least 7 days' notice, except in the cases provided for by Section 7.2.

12.4. Termination of the Agreement does not release the User from paying for the Services actually consumed up to the moment of termination and does not entitle the User to a refund, except in the cases provided for by the Refund Policy.
